CONSTITUTION OF GRASSWAY ASSOCIATION

To further common purposes, the members agree to organize under this constitution.

ARTICLE 1 – Name

The name of the association shall be GrassWay Association.


ARTICLE 2 – Principal Office

The principal office of the association shall be at N600 Plymouth Trail, New Holstein, Calumet County, WI 53061.


ARTICLE 3 – Purposes

The purposes for which the association is formed are:

  • A. To obtain healthy food from GrassWay Organics Farm Store, LLC for its members.
  • B. To obtain raw milk for its members.
  • C. To educate its members on the health benefits of raw dairy products.
  • D. The association is organized and operated for the above state purpose and for other non-profit purposes. No part of any net earnings shall inure to the benefit of any private member.

ARTICLE 4 – Powers

In furtherance of the objectives described above, but not limited to these, the association shall have the power, to the extent that such power is conferred and is not limited by law, to make and perform contracts for any lawful purpose, to engage in various funding and fund-raising purposes and to acquire, own, hold, operate, and maintain such property as to effectuate these purposes.


ARTICLE 5 – Membership

  • A. The association shall have one class of members. All voting rights and other rights, interests and privileges of each member shall be equal.
  • B. The rights and privileges of members, their liability for dues and assessments and the term and transfer of membership shall be as stated in the bylaws.

ARTICLE 6 – Officers

  • A. Elective Officers
    The officers of the association shall be a president, a vice-president, a secretary and a treasurer. The secretary and treasurer position can be held by the same person and other offices and officers may be established or appointed by members of the association at the regular annual meeting. The qualifications, the time and manner of electing, the duties, the terms of office, and the manner of removing officers shall be set forth in the bylaws.

ARTICLE 7 – Amendments to Constitution

This constitution may be amended or repealed, in whole or in part, only by majority vote of the association’s members at an organized meeting of the association.


ARTICLE 8 – Bylaws

Bylaws will be adopted after the signing of this constitution. Such bylaws may be amended or repealed, in whole or in part, in the manner provided in such bylaws; and the amendments to the bylaws shall be binding on all members including those that may voted against them.


This constitution is adopted on January 1, 2008.
